EVENT TERMS & CONDITIONS

This Release and Waiver of Liability, Assumption of Risk and Indemnity Agreement (“Release”) is made and provided by the person signing below (“Participant”), who is being permitted to enter and use the location situated at: Calle Rodolfo Gómez 182, Zona Romántica, Puerto Vallarta, México (“Location”) to participate in Cycle Breakers & Money Makers, Puerto Vallarta Retreat activities (“Event”) held at the Location and sponsored, promoted, conducted by or associated with Mariela De La Mora (“Sponsor”). The Participant desires to access the Location to attend a business masterminding and community-building event, which may include group coaching sessions, peer discussions, breakout groups, social meals, and optional activities such as boat rides, walking tours or informal gatherings. Participant acknowledges and agrees that entering into this Release is required as a condition to using the Location and participating in the Event. This Release shall be effective on the date of its execution and delivery by Participant.

In consideration of Sponsor permitting Participant to enter onto the Location and to participate in the Event, the undersigned, on behalf of Participant, Participant’s personal representative, heirs, and next of kin, does hereby stipulate and agree:

1. Acknowledgment and Assumption of Risk. Participant understands and acknowledges that the Event activities that will take place at the Location may involve inherent risks and may have potential hazards, and that Participant's participation in business masterminding and community-building activities could lead to mental or emotional discomfort, travel-related stress, fatigue, minor physical strain from movement or extended sitting, and potential property loss or damage. Such risks and hazards may be influenced by Participant's own actions or inactions, the actions or inactions of fellow participants in the Event, the condition of the Location, unforeseen weather conditions, or any negligence on the part of the Released Parties (as defined in Section 3 of this Release). Participant also acknowledges that any risks Participant may experience could be exacerbated by any delayed response or procedures of the Released Parties. Participant further recognizes that there may be other unforeseen risks and potential losses associated with participating in the Event. Participant voluntarily and willingly accepts the responsibility for all risks and hazards that may arise from engaging in the event and utilizing the location, including the risk of physical discomfort, emotional distress, or property damage.
   
   Sponsor aims to provide a supportive, identity-affirming, and respectful environment for all participants. However, Participant acknowledges that emotional triggers or challenging discussions may arise, and agrees to care for their well-being as needed.
2. Participant’s Representations. Participant acknowledges and represents that: (1) Participant is qualified to participate in the Event, having the necessary mental, emotional and physical capability for business masterminding and community-building activities; (2) Participant will follow all safety guidelines and instructions provided by the event organizers while participating in the Event; (3) Participant is in a suitable mental, emotional and physical condition to engage in the business masterminding and community-building activities; (4) Participant will adhere to the designated areas for business masterminding and community-building and will not engage in any activities outside the designated zones; (5) Participant will comply with all rules and regulations set by the Organizer and the Location for the Event; (6) Participant has familiarized themselves with the nature of the Event and the business masterminding and community-building involved, either through prior participation or by seeking information; (7) Participant will not be under the influence of any substances that could impair their ability to safely participate in the Event; and (8) Participant has read and comprehends all the terms of this Release, and had the opportunity to consult with appropriate professionals before agreeing to it.
3. Release from Liability. Participant hereby agrees, on behalf of Participant, and Participant’s heirs and personal representatives, to fully and forever discharge and release Sponsor, their affiliates, and their respective partners, agents, organizers, instructors, staff, and other attendees participating in the Event ("Released Parties") from any and all claims Participant may have or hereinafter have for any discomfort, injury, damages, liabilities, expenses, costs, and/or causes of action, now known or hereinafter known in any jurisdiction in the world, attributable or relating in any manner to Participant's presence at the Location and engagement in the Event, whether caused by the actions of the Released Parties or by any other reason. Participant acknowledges and agrees that this Release is intended to be, and is, a complete release of any responsibility of the Released Parties for any discomfort, injury, and/or property damage that Participant may experience while at the Location or participating in any aspect of the Event activities.

• Media Release: Participant grants Sponsor the irrevocable right and permission to use Participant’s name, likeness, voice, image, and/or appearance as such may be embodied in any photos, videos, recordings, or digital media taken or made during the Event. Participant agrees that Sponsor has complete ownership of such media and may use it for any lawful promotional or marketing purpose, including on websites, social media, and printed materials. Participant acknowledges that they will not receive any compensation for the use of such media. If Participant does not wish to appear in any media, they agree to notify the Sponsor in writing prior to the Event.

• Travel Responsibility: Participant acknowledges that they are solely responsible for their own travel arrangements, including flights, accommodations (unless otherwise provided), transportation, and compliance with any visa or entry requirements. Sponsor is not liable for any travel disruptions, delays, cancellations, or other incidents occurring during travel to or from the Event.

• No Refund Policy. Due to the intimate and limited-capacity nature of this event, all payments made toward participation in the Event are non-refundable. Once a Participant confirms their attendance, a space is held specifically for them, which prevents that spot from being offered to someone else. As such, no refunds will be issued for cancellations, changes in travel plans, or inability to attend for any reason. Participant acknowledges and accepts this policy by submitting payment and confirming their participation.

1. Covenant Not to Sue. Participant agrees, on behalf of Participant and all heirs or legal representatives, not to bring legal action against the Released Parties or take part in any claim for compensation or legal proceedings against the Released Parties due to any discomfort, injury, or property damage that Participant may incur while on the Location or engaging in the Event activities.
2. Indemnification.  Participant hereby agrees to defend, indemnify and hold harmless the Released Parties from and against any third party losses, damages, actions, suits, claims, judgments, settlements, awards, interest, penalties, expenses (including reasonable attorneys’ fees) and costs of any kind for any discomfort, injury, or property damage to property sustained by reason of or arising out of Participant’s involvement in any of the Event activities or Participant’s use of the Location, whether caused by the negligence of Released Parties or otherwise.
3. Governing Law and Venue.  This Release agreement will be governed by and interpreted in accordance with the laws of the State of California, without giving effect to the principles of conflicts of law of such state. Participant agrees that any action arising out of this Release must be brought exclusively in any state or federal court located in California, San Francisco County.
4. Waiver.  No waiver of any term or right in this Release shall be effective unless in writing, signed by an authorized representative of the waiving party. The failure of any party to enforce any provision of this agreement shall not be construed as a waiver or modification of such provision, or impairment of its right to enforce such provision or any other provision of this agreement thereafter.
5. Survival.  Any provision of this Release providing for performance by either party after termination of this agreement shall survive such termination and shall continue to be effective and enforceable. 
6. Compliance with Laws.  In the performance of the terms of this Release, use of the Location and participation in the Event, the parties shall comply with all applicable federal, state, regional and local laws, rules and regulations.  
7. Severability.  If any provision or portion of this Release shall be held by a court of competent jurisdiction to be illegal, invalid, or unenforceable, the remaining provisions or portions shall remain in full force and effect.  
8. Entire Agreement; Modification; Binding Effect.  This Release is the entire agreement between the parties with respect to the subject matter hereof and supersedes any prior agreement or communications between the parties, whether written, oral, electronic, or otherwise. No change, modification, amendment, or addition of or to this agreement shall be valid unless in writing and signed by authorized representatives of the parties. This agreement shall be binding upon and inure to the benefit of the successors, assigns, and legal representatives of the parties. 

I HEREBY ACKNOWLEDGE THAT I HAVE FULLY READ AND UNDERSTAND EACH OF THE ABOVE PROVISIONS. I ACKNOWLEDGE THAT PRIOR TO ACCEPTING THIS AGREEMENT I HAD THE OPPORTUNITY TO CONSULT WITH AN ATTORNEY TO REVIEW THIS AGREEMENT. I UNDERSTAND THAT I HAVE GIVEN UP SUBSTANTIAL RIGHTS BY ACCEPTING THIS AGREEMENT, AND ENTER THIS AGREEMENT FREELY AND VOLUNTARILY. 

Both parties understand that once terms have been agreed and accepted, they shall have the same force and binding effect under law as a digital signature or handwritten signature in ink.
